Statement of Clarification and Declaration of Independence
为避免公众及合作伙伴产生误解，维护市场秩序及公司合法权益，张家口冀天祥留学信息咨询服务有限公司（以下简称“本公司”）现郑重声明如下：
To prevent public misunderstanding and to safeguard market order and the legitimate rights and interests of the Company, Zhangjiakou Jitianxiang Overseas Study Information Consulting Service Co., Ltd. (hereinafter referred to as “the Company”) hereby solemnly declares as follows:
一、关于公司主体独立性的声明
- Declaration of Corporate Independence
- 本公司系依据中华人民共和国法律依法设立并合法存续的独立法人主体，具有独立的财产、独立的组织机构及独立承担民事责任的能力。
The Company is a legally established and validly existing independent legal entity under the laws of the People’s Republic of China, possessing independent assets, organizational structure, and the capacity to independently assume civil liabilities.
- 本公司与“山东省天祥出国留学咨询服务有限公司”仅存在名称相似情形，双方为完全独立的法人主体。双方在股权结构、实际控制人、董事及高级管理人员构成、财务体系、经营决策机制等方面均不存在任何形式的控股、参股、隶属或关联关系。
The Company and “Shandong Tianxiang Overseas Study Consulting Service Co., Ltd.” bear similarity in name only. The two entities are completely independent legal persons. There exists no shareholding relationship, equity participation, affiliation, control, common beneficial ownership, or related-party relationship between the two parties in terms of ownership structure, ultimate beneficial owners, directors and senior management, financial systems, or operational decision-making mechanisms.
二、关于历史业务合作的说明
- Clarification on Historical Business Cooperation
- 双方曾基于商业需要开展过阶段性、非排他性的业务合作。该合作系平等主体之间的商业合作行为，不构成任何形式的股权投资、战略联盟、联合经营或长期合作关系。
The two parties previously engaged in certain phased and non-exclusive business cooperation based on commercial needs. Such cooperation was conducted between independent entities on an arm’s length basis and did not constitute any equity investment, strategic alliance, joint operation, or long-term binding partnership.
- 双方的合作不涉及资产混同、财务共管或品牌授权等情形。
The cooperation did not involve commingling of assets, joint financial management, or brand licensing arrangements.
三、合作终止声明
III. Termination of Cooperation
- 基于双方战略发展规划调整，相关合作已于 2025年12月31日正式、全面终止。
Due to adjustments in the respective strategic development plans of both parties, the cooperation was formally and completely terminated on December 31, 2025.
- 自上述日期起，双方不存在任何形式的业务合作、授权关系或法律关联。
As of the above date, there exists no business cooperation, authorization, or legal relationship of any kind between the two entities.
四、责任独立声明
- Independent Liability Statement
自合作终止之日起，双方各自独立开展经营活动，各自对其经营行为、合同义务及法律责任独立承担责任。本公司不对“山东省天祥出国留学咨询服务有限公司”的任何经营行为、债务或法律责任承担任何形式的连带责任或担保责任。
From the date of termination, each party operates independently and shall independently bear its own contractual obligations and legal liabilities. The Company shall not assume any joint, several, or guarantee liability for any acts, debts, or obligations of “Shandong Tianxiang Overseas Study Consulting Service Co., Ltd..”
五、法律保留条款
- Reservation of Rights
对于任何未经核实即将两家公司视为关联主体、发布误导性信息或造成商誉损害的行为，本公司保留依法追究相关法律责任的权利。
The Company reserves the right to pursue legal remedies against any party that disseminates misleading information, improperly associates the two entities, or causes reputational damage without factual basis.
